PezScales provides management consulting, artificial intelligence advisory, technology implementation, data and decision intelligence services, forward-deployed engineering, and related strategic and technical services.

Our work may include strategy, operational improvement, AI implementation, software development, data integration, forecasting, analytics, decision-support systems, and other advisory or implementation services.

The specific scope, deliverables, responsibilities, timelines, fees, and commercial terms of a client engagement will be defined in the applicable proposal, Statement of Work, Master Services Agreement, or other written agreement between PezScales and the client.

If these Terms conflict with a signed client agreement, the signed agreement will control with respect to that engagement.

You may use this website only for lawful purposes.

You may not attempt to interfere with the operation or security of the website, gain unauthorized access to systems or information, introduce malicious software, scrape or reproduce protected content unlawfully, or use the website in a way that violates applicable law or the rights of others.

Nothing on this website grants you a license to use PezScales trademarks, branding, proprietary materials, or intellectual property without prior written permission.

Where no separate written agreement applies, PezScales' aggregate liability arising out of or relating to these Terms or the applicable services will not exceed the amount paid to PezScales for the services giving rise to the claim during the twelve months preceding the event giving rise to liability.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

Indemnification

To the extent permitted by law, you agree to indemnify and hold PezScales and its officers, employees, contractors, and affiliates harmless from claims, liabilities, damages, or expenses arising from your unlawful use of our website, your violation of these Terms, or your infringement of the rights of another party.

Governing Law

These Terms will be governed by the laws of the State of Utah, without regard to conflict-of-law principles.

Any dispute arising from these Terms that is not otherwise governed by a separate written agreement will be subject to the jurisdiction of the appropriate state or federal courts located in Utah.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement

With respect to use of this website, these Terms and our Privacy Policy constitute the agreement between you and PezScales concerning that use.

For clients, any applicable Master Services Agreement, Statement of Work, proposal, or other signed agreement may supplement or supersede portions of these Terms.

No Guarantee of Outcomes

PezScales provides advice, analysis, technology, and implementation support based on the information available at the time of an engagement.

Business decisions involve uncertainty. Forecasts, models, artificial intelligence systems, recommendations, simulations, and other analyses may rely on assumptions, incomplete information, third-party data, or probabilistic outputs.

Unless expressly agreed otherwise in writing, PezScales does not guarantee any specific financial, operational, technological, or business outcome.

Clients remain responsible for their ultimate business decisions and for evaluating whether recommendations or outputs are appropriate for their organization.

Artifical Intelligence and Third-Party Technology

Our services may incorporate artificial intelligence models, software platforms, data providers, cloud infrastructure, APIs, open-source technologies, and other third-party products or services.

Third-party technologies may be subject to their own terms, limitations, availability, and privacy practices. PezScales is not responsible for changes, interruptions, inaccuracies, or failures caused solely by third-party systems outside our reasonable control.

We take commercially reasonable measures to evaluate the technologies used in client engagements and to design solutions appropriate to the circumstances of the engagement.

Intellectual Property

All content on this website, including our branding, text, graphics, designs, methodologies, software, frameworks, and other materials, is owned by or licensed to PezScales and is protected by applicable intellectual property laws.

Intellectual property rights arising from client engagements will be governed by the applicable written agreement.

Unless otherwise agreed in writing, PezScales retains ownership of its pre-existing intellectual property, general methodologies, know-how, frameworks, processes, reusable tools, models, templates, and other materials that are not uniquely created for a specific client.

Client-specific deliverables and ownership rights will be defined in the applicable Statement of Work or other client agreement.

Confidentiality

We take the confidentiality of client and prospective-client information seriously.

Confidential information disclosed during an engagement will be handled in accordance with the applicable client agreement or Non-Disclosure Agreement.

Where appropriate, PezScales may enter into a mutual Non-Disclosure Agreement before receiving sensitive or proprietary information.

We do not knowingly disclose client confidential information to third parties except where authorized, necessary to perform agreed services, or required by law.

Data and Privacy

Where PezScales processes personal, proprietary, or confidential data in connection with an engagement, the parties may enter into additional agreements governing the collection, processing, storage, security, and use of that information.

Clients are responsible for ensuring they have the appropriate rights and permissions to provide PezScales with data used in connection with an engagement.
